K-One Plans RM46 Million Capital Reduction to Support RM75 Million Special Payout

KUALA LUMPUR, AUGUST 2026 — K-One Technology Bhd is proposing a RM46 million capital reduction and repayment exercise as part of plans to distribute up to RM75 million to shareholders following the sale of its cloud business.

The exercise follows K-One’s proposed disposal of its entire stake in Global Access Points Sdn Bhd (GAP), an information and communications technology solutions provider, for RM94 million to Japan-listed ITOCHU Corp and its Singapore unit.

K-One said the planned special distribution could amount to up to nine sen per share. This comprises a cash dividend of up to six sen per share, worth approximately RM47.6 million, and a capital repayment of three sen per share, totalling about RM27.4 million.

The distribution is based on the company’s approximately 832 million issued shares as of August 10, 2026, and will only proceed after the completion of the GAP disposal. K-One stressed that the nine-sen payout remains a preliminary estimate.

Under the proposed capital reduction, K-One’s issued share capital would fall from RM123.64 million to RM77.64 million. Of the RM46 million credit created, RM27.41 million is expected to fund the capital repayment, while RM12.58 million will be used to offset accumulated losses. The remaining RM6.02 million will serve as a buffer against potential future losses.

After completing the disposal and capital reduction, K-One expects retained earnings of approximately RM85.38 million. This is projected to decline to RM10.38 million after the planned RM75 million special payout.

The exercise will not involve the cancellation of shares or changes to shareholders’ percentage stakes. K-One said the initiative is intended to streamline its capital structure, strengthen its balance sheet and return excess capital to investors.

K-One shares closed 3.57% higher at 14.5 sen, giving the company a market capitalisation of about RM121 million. UOB Kay Hian is advising the company on the proposed capital reduction and repayment.
